Terms of Service

Last updated:

This document is written in English. Website language settings do not translate its legal text.

1. Agreement and operator

These Terms govern the Vyach Discord bot, website, dashboard and related meeting-assistance features (the Service). “We” and “Vyach” mean Mikhail Bovt, the individual operator of the Service based in Singapore; “you” means the person using it and, where you are authorised to act for an organisation, that organisation. Polar is a separate reseller, not the operator of Vyach.

By installing or deliberately using the Service after these Terms have been made available, you agree to them. If you act for an organisation or server, you must have authority to give its instructions. Recording consent is a separate decision: merely joining a server does not signify consent to recording or surrender statutory rights.

The Acceptable Use Policy forms part of these Terms. The Privacy Policy explains personal-data processing; the DPA governs processing on behalf of a customer where applicable. Mandatory law prevails; an applicable DPA prevails for its subject matter.

2. Age, accounts and authority

You must be at least 13 and satisfy Discord’s higher minimum age and other legal age requirements applicable in your country. If you are below the age of legal majority, your parent or guardian must authorise your use where required. You may purchase subscriptions or add-ons, become a Payer or authorise recurring charges only if you are at least 18 and legally capable of entering the purchase contract. Parental permission does not waive the 18+ purchasing requirement.

Sign-in uses Discord OAuth. We do not ask for your Discord password. Keep your Discord account, sessions and billing-portal links secure; promptly report suspected compromise. These age rules are contractual requirements, not a claim that Vyach independently verifies every user’s age. You must also comply with Discord’s Terms and Community Guidelines.

3. Features and limitations

Vyach records consenting speakers in a connected voice channel, transcribes speech using its deployed speech-to-text service, and creates AI summaries. Depending on the plan and configuration, it can search retained meeting history, answer meeting questions, generate catch-up messages and publish tasks. Features depend on Discord permissions, server settings, quotas, processing capacity and third-party availability.

It is a meeting aid, not an emergency service, evidentiary recording system, guaranteed backup or professional adviser. It does not guarantee complete capture of every speaker, correct attribution or completion of every transcription. Calls can end when the bot is disconnected, removed, unable to receive audio or otherwise interrupted. Keep independent records where necessary.

4. Recording, notice and server responsibilities

Before recording, the person running the meeting must give clear notice of recording, transcription, storage, AI processing, search and publication, make the Privacy Policy available, and obtain all permissions and legal bases required by applicable recording, employment and data-protection laws. A Discord permission or an administrator’s instruction is not a substitute for a participant’s consent.

The bot records only recognised human accounts with an accepted recording preference for that server. Preferences can persist across meetings. A refusal, unanswered prompt or undeliverable private message does not grant consent. Participants can change their choice using /privacy consent; withdrawal stops further capture but does not automatically erase previously processed material. See the Privacy Policy for erasure.

Do not relay a non-consenting person’s speech through another account, a speakerphone or a bot. Other speakers may mention a person even when that person’s own audio is excluded. Server operators must configure access and publication channels appropriately and protect exports and downloaded copies. Technical consent controls do not establish that every use is lawful.

5. Owner, delegated permissions and Payer

The Discord server owner and designated instance owners have owner-level service permissions. Instance owners can administer servers using this bot even without membership. Other permissions depend on current Discord permissions and explicit user or role grants; some meeting and question functions are open to server members when no relevant restriction is configured.

Payer status grants only subscription and billing management, including plan changes, cancellation and add-ons. It does not grant settings management, export or deletion authority. Separate owner, administrator or delegated permissions still apply when the same person holds them. A Payer has no ownership interest in the server’s data and cannot veto an authorised owner’s deletion. Payment does not make otherwise restricted content private from authorised server users or the operator.

6. Polar and purchases

Polar, operated by Polar Software, Inc. in the United States, is the sole payment provider and Merchant of Record for Vyach purchases. It sells subscriptions and add-ons as our reseller and handles checkout, charges, invoicing, applicable indirect taxes and payment reversals. We deliver and support Vyach. Its Buyer Terms and Privacy Notice apply to the purchase relationship; these Terms govern use of Vyach.

Check the total, currency, billing interval, tax treatment and renewal terms shown before paying. Public paid plans are monthly subscriptions for a particular Discord server. By agreeing to a recurring purchase, the adult purchaser authorises the charges disclosed at checkout until cancellation takes effect. We do not receive or store full payment-card numbers or card security codes.

We will make material price or subscription changes clear before they affect future charges, with the notice and cancellation opportunity required by law. Changes do not authorise undisclosed charges. Availability may be restricted by applicable sanctions, export rules or Polar’s supported-country requirements.

7. Usage periods and add-ons

Recording time, questions and storage limits are set out on the pricing page and dashboard. Paid usage periods follow the subscription’s billing period. Free periods run monthly from the bot’s initial service start for the server, or the transition to Free; they are not calendar-month resets. Monthly dates use UTC and adjust for shorter months.

If the same owner has more than three Free servers, an additional combined recording and question cap applies, equivalent to three Free allowances across that owner’s Free servers. Each server’s own allowance also applies.

Included allowances reset rather than roll over. Purchased add-on allowances supplement the applicable period and expire at its end; they do not roll over. A purchase or plan change does not guarantee that every historical file can be restored. Questions are subject to an additional limit of one request per person every 30 seconds and other service protections. Recording usage measures elapsed recording time, not the sum of all speakers’ audio.

8. Cancellation, removal and refunds

The Payer can manage cancellation through the available billing controls. Ordinary cancellation generally prevents renewal at the end of the paid period; access may end earlier following a refund, payment failure, authorised server deletion or justified suspension. Follow the confirmation and effective date shown by the billing service. Leaving a server can affect Payer eligibility and renewal; it is not a transfer of the server or its data.

/privacy delete-data erases stored meeting data and related personal metadata while retaining the server’s configuration and subscription. /privacy delete-server removes the server’s service records and requires successful cancellation of an ongoing subscription and invalidation of pending checkout links before deletion. A late payment through an invalidated link does not restore access and is submitted for refund through Polar. Deletion does not preserve remaining paid access for the deleted server. We attempt to notify the Payer privately; Discord delivery is not guaranteed.

Removing the bot is not immediate full erasure or a guaranteed immediate billing cancellation. Removed-server records are scheduled for complete deletion after the applicable inactivity period and any downgrade grace, with subscription cancellation performed before the records are removed. Use the billing controls to cancel renewal and contact us if access has been lost.

An authorised replacement Payer may take over after the previous Payer leaves. Where an already-paid period remains, checkout can collect a payment method with a zero-cost initial period. The first regular charge is scheduled for the end of the previously paid period; this does not reset allowances already used by the server. Review the renewal date and price in the billing controls before confirming.

Polar identifies a billing customer separately from a Discord server. A Payer who pays for several servers may see those subscriptions in their Polar customer portal. Server ownership alone does not grant access to another Payer’s customer portal or payment information.

Unless checkout terms or mandatory law provide otherwise, voluntary cancellation, non-use and deletion do not create a discretionary pro-rata refund entitlement. Contact Vyach for product or refund issues; Polar handles refunds and payment disputes through its procedures. This does not restrict statutory withdrawal, non-conformity remedies or lawful chargeback rights. Where a consumer’s withdrawal right applies, it remains available; any lawful early-performance consent or waiver must be obtained separately at checkout, not inferred from using the bot.

For billing and refund assistance, email inbox@vyach.app.

9. Retention, downgrade and deletion

The Privacy Policy specifies retention and deletion in detail. The selectable 7, 30, 60, 90, 180 or 360 days are periods of server inactivity, not guaranteed maximum ages of individual meetings. Qualifying service activity, including commands and dashboard access, can restart the inactivity period.

Free normally retains the latest five completed meetings with stored transcripts. After a paid-to-Free downgrade, paid custom templates and personality settings become unavailable immediately, remain recoverable for 30 days, then are removed; excess stored history is also pruned after this grace. Grace and active processing can defer other cleanup. Routine cleanup runs in background jobs and retries failures.

Erasure from Vyach does not automatically remove already published Discord summaries, tasks, catch-ups, question messages or answers, or copies downloaded by others. These can contain personal information and remain subject to applicable rights. Contact the server operator or us about such copies. Export necessary material before deleting: erased records cannot be recovered through the normal service.

10. Content ownership and permitted processing

You and the relevant rights holders retain rights in submitted speech, text and other content. You grant us a limited, non-exclusive permission to receive, process, store, transmit to disclosed providers and publish that content only as necessary to provide the configured Service, respond to your instructions and meet legal obligations. It is not a transfer of ownership or permission to sell meeting content or train models with it.

You must have the rights needed for your submissions and instructions. AI outputs may not be unique, accurate or eligible for intellectual-property protection. Subject to third-party rights and mandatory law, we do not claim ownership of your meeting outputs. Our software, branding and designs remain ours or our licensors’; access confers no right to resell the Service or use our branding as an endorsement without permission.

11. AI accuracy and human review

Transcriptions, summaries, tasks, catch-ups and answers can omit, misattribute or invent information, including names, decisions and assignments. A citation or confidence score is not verification. You must check material outputs against appropriate sources before sharing them or taking action.

Do not rely on the Service for medical, legal, financial or other regulated advice, emergencies, or decisions that materially affect employment, education, housing, credit or similar rights without appropriate independent human assessment and legal safeguards. We do not undertake to make such decisions for you.

13. Suspension and termination

We may restrict affected features or terminate access where reasonably necessary for a material breach, unlawful use, non-payment, a security threat, a binding legal requirement or an inability to continue providing the Service. When practicable and appropriate, we will explain the reason and allow a reasonable opportunity to correct it. Urgent protection may require immediate action; notices may be limited where law prohibits disclosure.

You may stop using the Service, cancel renewal and exercise the deletion controls. Suspension or cessation does not itself replace those controls or silently waive a refund required by law. If we discontinue paid service, we will provide the notice and remedies required by the applicable contract and law. Privacy, intellectual-property, payment, liability and dispute provisions survive only to the extent their purpose requires.

14. Warranties and consumer protections

Subject to mandatory rights, the Service is supplied as available, without a promise of uninterrupted availability, perfect accuracy, compatibility with every server configuration, fitness for a particular purpose or immunity from security incidents. For business use, we disclaim implied warranties to the extent permitted by law.

Nothing excludes a mandatory consumer guarantee, an obligation to supply services with legally required care or skill, or rights concerning defective digital services. These disclaimers do not excuse our own non-excludable duties or override the DPA.

15. Liability

To the extent law permits, for business customers we are not liable for indirect or consequential losses, lost business opportunities or lost profits arising from use or inability to use the Service. Our aggregate liability to a business customer under these Terms is limited to the greater of USD 100 or the fees attributable to its affected Vyach server for the 12 months before the event giving rise to the claim, excluding taxes and third-party charges.

For consumers, responsibility for foreseeable loss, consumer remedies and any limits are determined by applicable mandatory law. No limitation here applies to fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or liability that cannot lawfully be restricted, including applicable data-subject compensation rights. Obligations and statutory responsibility of a controller or processor are not removed by this clause.

16. Business indemnity

If you use Vyach for business, you will indemnify us against third-party claims and reasonable defence costs directly arising from your unlawful recording, unauthorised content, infringement of third-party rights or material breach of the AUP, to the extent permitted by law. This does not cover loss caused by our own breach, negligence or misconduct and does not impose an indemnity on consumers merely for ordinary use.

We will notify you promptly of a claim, allow reasonable participation in its defence and take reasonable steps to mitigate loss. Neither party may agree a settlement admitting fault or imposing obligations on the other without that party’s reasonable consent.

17. Events outside reasonable control

A party is not responsible for delay caused by an event beyond its reasonable control, such as a major network outage, natural disaster, war or legally required service restriction, to the extent that law permits. The affected party must take reasonable mitigation steps and communicate material disruption where practicable. This does not remove accrued payment obligations, required refunds, security duties or data-protection responsibilities.

18. Changes, law and general provisions

Material changes will be identified by an updated date and notified through the dashboard, support server or another appropriate channel before they apply where notice is required. Changes are not retroactive; we will seek renewed agreement when law requires it. You may stop using the Service and cancel renewal if you do not accept a change. Mere continued use cannot waive mandatory rights.

Unless a specific lawful governing-law provision is agreed in a separate agreement, applicable conflict-of-laws and jurisdiction rules determine the governing law and competent courts. Consumers retain access to courts and mandatory protections available where they reside. No mandatory arbitration or class-action waiver is imposed by these Terms.

If a provision is unenforceable, the remaining provisions continue so far as lawful; a valid provision may replace it only consistently with its lawful purpose. Failure to enforce a right is not a waiver. Neither party may transfer obligations in a way that reduces mandatory protections. These Terms and incorporated documents form the service agreement, subject to any express written agreement and the separate Polar purchase contract.

19. Contact

For service, billing, privacy or legal questions, email inbox@vyach.app or request a private contact through our support server. Include your Discord user and server IDs and the type of request, without posting transcripts, credentials or payment details publicly. Do not email meeting content or sensitive attachments without first arranging an appropriate secure channel.
